Drafting and negotiating a commercial contract
A clear contract is a dispute avoided. Subject, price, deadlines, liabilities, warranties, exit: six well-drafted points make the difference between a lasting commercial relationship and a file that ends up in court.
Writing down what each party will do
Most commercial disputes arise from a point nobody wrote down: what happens if delivery slips by three weeks, who bears an unforeseen cost, how to exit cleanly from an agreement that has outlived its purpose. Contract drafting means settling those points while the relationship is good, and agreement therefore easy. The programme teaches it on the most common contracts — sale, services, subcontracting, procurement — and on the negotiations that precede them.
- Draft the essential clauses of a sale or services contract
- Provide for warranties, penalties and exit conditions
- Negotiate a subcontracting agreement and manage its performance
- Review a contract proposed by a third party and flag its open points
The modules that carry it
A cross-curricular module spread over several years reads « Years 1 to 3 »: it runs alongside the whole programme rather than a single term.
